Establishes the terms and conditions for customers of our Speed Optimization service.
1. Introduction
This Speed Optimization Terms and Conditions agreement ("Agreement") establishes the terms governing the performance-optimization services provided by Ryan Davis LLC, doing business as WebOps ("WebOps", "we", "us", or "our"), to you ("Customer", "you", or "your").
This document operates as a supplement to our General Terms & Conditions, Acceptable Use Policy (AUP), and Privacy Policy. By ordering, accessing, or utilizing our Speed Optimization service, you acknowledge that you have read, understood, and agree to be bound by these terms. Ordering the service constitutes your legal acceptance.
2. Service Description
The WebOps Speed Optimization service provides per-site performance tuning above and beyond the optimization already included with every WebOps hosting plan. It is a managed, ongoing service focused on measuring, maintaining, and improving the loading performance of your website.
The service is delivered by our team on an active hosting plan and does not transfer ownership of any third-party tooling or licenses to the Customer.
3. Scope of Services
The specific work performed may vary depending on the plan tier purchased and the technical characteristics of your site. Generally, the scope includes:
- Performance Measurement: Periodic measurement of page performance, including a recurring PageSpeed Insights (PSI) median reading.
- Caching & Delivery Tuning: Configuration and tuning of server-level caching, object caching, and CDN delivery for your site.
- Asset Optimization: Image, script, and stylesheet optimization within the constraints of your theme and plugins.
- Post-Update Regression Checks: A performance check following significant updates to catch regressions introduced by themes, plugins, or content changes.
- Per-Cycle Tweaks: Ongoing, incremental adjustments each billing cycle as the site and its content evolve.
4. Customer Responsibilities
Performance is a shared responsibility. The effectiveness of the Speed Optimization service relies on the Customer fulfilling the following obligations:
- Access: Maintain an active WebOps hosting plan and provide any access required for us to perform the work.
- Information Accuracy: Provide complete and accurate information about your site, its plugins, and any third-party integrations.
- Change Coordination: Inform us of major design, plugin, or content changes that may materially affect performance.
- Data Backups: Maintain independent, verified backups; note that WebOps also maintains backups as part of your hosting plan.
- Reasonable Constraints: Understand that some optimizations may be limited by third-party themes, plugins, page builders, or external scripts outside our control.
5. Performance Expectations
WebOps will apply industry best practices to improve your site's performance. However, the Customer acknowledges that website performance depends on many factors outside our control, including third-party plugins and themes, external scripts and embeds, the Customer's content and media, visitor location and device, and changes made by the Customer or third parties.
WebOps does not guarantee any specific performance score, load time, or ranking outcome. Performance metrics such as PageSpeed Insights scores are provided as directional indicators and are known to vary between measurements.
6. Limitations of Service
The service covers performance tuning only. It does not include custom development, redesigns, content creation, or the removal of functionality the Customer wishes to retain. Where a performance issue originates in third-party code or a Customer-imposed constraint, our remedy may be limited to recommendations rather than a direct fix.
7. Service Availability
WebOps performs optimization work and measurement on a recurring basis. Work may be scheduled around maintenance windows or deferred where a site change would otherwise invalidate the work. Whenever feasible, we will coordinate timing with the Customer.
8. Limitation of Liability
To the maximum extent permitted by applicable law, WebOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, traffic, rankings, data, or goodwill, arising out of or related to the Speed Optimization service.
In no event shall the aggregate liability of WebOps arising out of or related to this Agreement exceed the total amount of service fees paid by the Customer for the Speed Optimization service in the twelve (12) months immediately preceding the event giving rise to the claim.
9. Termination
Either party may terminate this service by providing thirty (30) days prior written notice to the other party. WebOps reserves the right to terminate immediately for material breach, including non-payment or violation of our Acceptable Use Policy. Upon termination, all outstanding fees for services rendered through the effective date shall become immediately due and payable.
10. Governing Law & Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action arising under this Agreement will be brought exclusively in the federal or state courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.
11. Amendments
WebOps reserves the right to modify these terms at any time to reflect changes in our services, industry standards, or legal requirements. We will notify customers of significant changes via email or through the customer portal. Continued use of the service after changes are published constitutes acceptance of the updated terms.
